Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Kaya Haiti marketplace and delivery platform (the “Service”), operated by Kaya Technologies LLC (“Kaya”, “we”, “us”). By using the Service you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Kaya Haiti is a platform that connects customers with local stores, restaurants, sellers, and delivery drivers across Haiti. Kaya facilitates ordering and delivery between users but is not the manufacturer or original seller of the products offered by third-party sellers.

2. Eligibility and accounts

• You must be at least 18 years old to create an account, sell, or drive on the Service.
• You are responsible for the accuracy of the information you provide and for keeping your account credentials and phone number secure.
• You are responsible for activity that happens under your account.

3. Sellers and drivers

• Sellers and drivers must complete identity verification and provide accurate identity, business, and vehicle information where applicable.
• Sellers are responsible for their listings, prices, product quality, and legal compliance. Listed items must be genuine, lawful, and accurately described.
• Drivers are responsible for safe, lawful, and timely delivery.
• Kaya may review, suspend, or remove listings or accounts that violate these Terms or applicable law.

4. Orders, pricing, and delivery

Prices, availability, and delivery estimates are shown in the app and may change. Delivery times are estimates and not guarantees. A delivery fee may apply and is shown before you confirm an order. You agree to provide an accurate delivery location and to be available to receive your order.

5. Payments

Payments are processed by third-party payment providers. You agree to pay the total shown at checkout, including any applicable fees and taxes. Refunds, where applicable, are handled according to our support process and the relevant seller’s policy.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Post false, misleading, infringing, or offensive content.
• Attempt to interfere with, disrupt, or gain unauthorised access to the Service or other users’ accounts.
• Impersonate any person or misrepresent your identity or affiliation.

7. Messaging and notifications

By using the Service you agree to receive service-related communications from us — including order confirmations, delivery updates, security codes, and support messages — by WhatsApp, SMS, email, or in-app notification. You can opt out of non-essential messages at any time. See our Privacy Policy for details.

8. Intellectual property

The Service, including the Kaya Haiti name, logo, and software, is owned by Kaya Technologies LLC and protected by law. You may not copy, modify, or distribute any part of the Service without our permission. Content you submit remains yours, but you grant Kaya a licence to use it as needed to operate the Service.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that products offered by third-party sellers will meet your expectations.

10. Limitation of liability

To the maximum extent permitted by law, Kaya Technologies LLC will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Suspension and termination

We may suspend or terminate your access to the Service if you violate these Terms, create risk or legal exposure for us, or as otherwise permitted by law. You may stop using the Service and request account deletion at any time.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
